Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the ConvoNest mobile application (the "App"), our website at convonest.ai (the "Website"), and all related services (collectively, the "Services") provided by ConvoNest LLC ("we", "our", "us", "ConvoNest").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

We may update these Terms from time to time. We will notify you of material changes by posting a notice in the App or sending you an email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use our Services. By using ConvoNest, you represent and warrant that you are 18 years or older and have the legal capacity to enter into these Terms.

You also warrant that you own the device on which you have downloaded our App, or that you have permission from the device's owner. You accept full responsibility for all use of the App on any device associated with your account.

3. Description of Services

ConvoNest is a private, AI-tended companion app for couples. Our Services include:

• Nestor — a private AI relationship companion offering daily conversation, gentle suggestions, and a built-in crisis safety layer.
• Daily check-ins — a three-minute pause for sharing your mood, energy, and closeness.
• Love Meter — a soft daily reading derived from check-ins and repair activity.
• Conflict Repair — a structured, five-step flow that gives each partner space to share their perspective, then helps shape kinder language for what comes next.
• The Lantern — an ambient, wordless way to signal "in the mood" to your partner.
• Tonight's Invitation — a small daily practice picked for the two of you.
• Wishes & Games — Tender Match, Wishing Well, and Shooting Stars; light, consent-led ways to surface and grant small desires.
• Shared Journal — an optional place for memories and dates, scoped to private or shared.
• Insights — soft patterns from the last week or 90 days.

4. Account Registration and Security

To use most features of ConvoNest, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the confidentiality of your password
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use

You may only maintain one account. Accounts are personal to you and may not be transferred, sold, or shared.

5. Partner Pairing and Data Sharing

ConvoNest allows you to pair your account with your partner's account. When you pair:

• You explicitly consent to share the activity data you've configured in Settings → "What your partner sees" (mood overview only, full check-in, or nothing).
• Your partner will be able to see your shared check-ins, Love Meter, Lantern state, and other shared features per your settings.
• Your conversations with Nestor remain private to you — your partner cannot read them.
• You may unpair at any time, which stops all future data sharing.

You are responsible for obtaining your partner's consent before pairing. We are not responsible for disputes between partners regarding shared data.

6. Subscription and Payment Terms

ConvoNest operates on a freemium model. Core features are free. Additional features are available through a paid subscription (ConvoNest+).

6.1 Subscription Details

• ConvoNest+ Monthly: $9.99 per month
• ConvoNest+ Annual: $59.99 per year (approximately $4.99 per month — save 50%)
• Subscriptions automatically renew until canceled before the renewal date.
• You will be charged in advance for each subscription period.
• Pricing and features may change with advance notice to existing subscribers.

6.2 Payment Processing

Subscriptions are processed through Apple's App Store (on iOS) or Google Play Store (on Android), using their billing systems. Their additional terms and conditions apply. We use RevenueCat to manage entitlements and receipts but never see or store your credit card information.

6.3 Cancellation

You may cancel your subscription at any time through your App Store or Play Store account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods.

6.4 Refunds

All sales are final. We do not provide refunds except where required by law. For purchases made through the App Store or Play Store, refund requests must be directed to Apple or Google, as we cannot process those refunds.

7. AI Services and Limitations

ConvoNest uses artificial intelligence to power features like Nestor and the Conflict Repair flow. Our primary AI model is provided by Anthropic (Claude API). We may also use OpenAI for select features.

You acknowledge and agree that:

• AI responses are generated algorithmically and may not always be accurate, appropriate, or suitable for every situation.
• AI suggestions are tools for your consideration, not professional advice or instructions.
• You are solely responsible for decisions you make based on AI-generated content.
• AI features may occasionally be unavailable due to technical issues with third-party services.
• We do not guarantee any particular outcome from using our AI-powered features.
• A safety classifier runs on every Nestor message. If we detect crisis language, Nestor switches to a resource-surfacing mode. This safety layer is best-effort and is not a substitute for professional care.

8. User Content and Acceptable Use

You are responsible for all content you submit, post, or transmit through ConvoNest ("User Content"). You retain ownership of your User Content, but grant us a limited, non-exclusive, royalty-free license to use it solely to provide and improve our Services on your behalf.

You agree NOT to use ConvoNest to:

• Post content that is illegal, threatening, abusive, harassing, defamatory, obscene, or that depicts or facilitates harm to a minor
• Violate intellectual property rights
• Impersonate any person or entity
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Use automated systems (bots, scrapers) to access the Services
• Interfere with or disrupt the Services or servers
• Use the Services for any commercial purpose without our written consent

We reserve the right to remove User Content that violates these Terms and to suspend or terminate accounts of users who violate these Terms.

9. Intellectual Property Rights

The Services, including the App, Website, software, design, text, graphics, logos, and all content ("ConvoNest Content"), are owned by ConvoNest LLC and protected by copyright, trademark, and other intellectual-property laws.

We grant you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. This license does not include any right to:

• Copy, modify, or create derivative works of ConvoNest Content
• Reverse engineer, decompile, or disassemble the App
• Sell, rent, lease, sublicense, or transfer the Services
• Remove or alter any copyright, trademark, or proprietary notices

ConvoNest, the ConvoNest logo, and all related trademarks are property of ConvoNest LLC. You may not use them without our prior written consent.

10. Privacy and Data Use

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

Our Services integrate with or depend on the following third parties: Supabase, Anthropic, OpenAI, RevenueCat, Apple, Google, and Expo. We are not responsible for and do not endorse third-party services beyond the integration. Your use of those services is subject to their own terms.

12. Disclaimers and Warranties

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The Services will meet your specific requirements or expectations
• Any content, advice, or information obtained through the Services will be accurate or reliable
• Defects or errors will be corrected
• Using our Services will improve your relationship or achieve any particular outcome

13. Limitation of Liability

In no event shall our total liability to you for all claims arising out of or related to the Services exceed the greater of (a) the amount you paid to ConvoNest in the six months preceding the claim, or (b) $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless ConvoNest LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

15. Termination

You may terminate your account at any time through the App's Settings, via the account deletion page, or by contacting support@convonest.ai.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination:

• All rights granted to you will immediately cease
• You must stop using the Services and delete the App from your devices
• We may delete your account and User Content
• You will not be entitled to any refund of subscription fees

16. Dispute Resolution and Arbitration

Informal Resolution: Before filing a claim, you agree to contact us at support@convonest.ai to attempt to resolve the dispute informally. Include your name, contact information, a description of the dispute, and the resolution you're seeking.

Binding Arbitration: If we cannot resolve a dispute informally, you and ConvoNest agree that any dispute will be resolved through binding arbitration rather than in court, except that either party may bring suit in court to enjoin infringement or misuse of intellectual-property rights.

Class Action Waiver: YOU AND CONVONEST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You waive any right to a jury trial.

Time Limitation: Any claim must be filed within one (1) year after the claim arises, or it will be permanently barred.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. To the extent arbitration does not apply, you agree to submit to the exclusive jurisdiction of the courts located in Orange County, Florida.

18. Changes to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Services. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

19. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ConvoNest regarding the Services.

Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
